SEC Looks to Simplify M&A Disclosures

A plan that seeks to reduce reporting burdens for companies acquiring or unloading businesses has emerged at the SEC.

Regulation S-X, which governs financial statements, would get an update intended to make disclosures on mergers and acquisitions simpler and cheaper to prepare under amendments the Securities and Exchange Commission proposed May 3. The proposal followed an SEC disclosure effectiveness initiative under former Chairman Mary Jo White, who asked for public input in 2015 on improving reporting requirements concerning acquired businesses.
