ANALYSIS: Delaware Incorporation Is Still Popular Among IPOs

In July, venture capital firm Andreessen Horowitz moved its place of incorporation from Delaware to Nevada, citing concerns with the Delaware Court of Chancery’s decisions. It was the latest of several vocal corporate exits from Delaware.

In response to the “DExit” phenomenon some states have modified their laws governing corporations, created business courts, and tinkered with proxy rules—all seemingly in an effort to make their states look more favorable to businesses than Delaware.

But Delaware still leads for incorporation venue purposes by a wide margin over any other state, according to Bloomberg data.
