Masonite International Corp. and its directors filed a proxy statement missing key details about the company’s proposed $3.9 billion acquisition by Owens Corning, including financial data and potential conflicts of interest, according to a complaint filed Friday seeking to block to deal.

The proxy statement recommends shareholders vote to approve the proposed deal at a meeting scheduled for April 25, but they can’t cast informed votes without Masonite’s projections or financial analyses used by advisers Goldman Sachs & Co. LLC or Jeffries LLC, according to the complaint filed in US District Court for the Southern District of New York. ...
