The New Jersey Governor May 8 signed a law modernizing business filing statutes, for excise tax purposes. The law includes measures: 1) establishing domestication requirements for a foreign corporation to file an application to convert to a domestic corporation to be domiciled in New Jersey; 2) providing domestic corporations the ability to file an application to convert to “other entities,” such as partnerships, limited liability companies, statutory trusts, business trusts or associations, real estate investment trusts, common law trusts, national associations, or any other unincorporated businesses; 3) imposing a $75 filing fee for a certificate of conversion; and 4) specifying ...
